Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Services") provided by Apex Logic Systems ("we," "our," or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Use of Services

Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by Apex Logic Systems, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. You retain ownership of any content you submit to our Services, and you grant us a license to use, store, and process that content as necessary to provide the Services.

Payment and Subscriptions

Some Services may be offered on a paid subscription basis. If you purchase a subscription:

• You agree to pay the fees specified for your subscription plan
• Fees are billed in advance on a recurring basis (monthly, annually, etc.)
• All fees are non-refundable except as expressly stated in product-specific terms
• We reserve the right to change our fees with advance notice
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of your access

Termination

We may terminate or suspend your access to the Services at any time, with or without cause or notice, including if you violate these Terms. You may terminate your account at any time by contacting us or through the account settings in the applicable product.

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, APEX LOGIC SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF NO PAYMENT HAS BEEN MADE.

Indemnification

You agree to indemnify, defend, and hold harmless Apex Logic Systems and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.

Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

Changes to Terms

Governing Law and Dispute Resolution

Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and Apex Logic Systems regarding the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be unenforceable, that provision shall be removed and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
